Terms & Conditions

These Terms & Conditions ("Terms") constitute a legally binding service agreement between Flame Techno ("Agency," "we," "us," or "our"), headquartered at Deluxe Mall, Pimpri, Pune 411017, and the client entity or individual ("Client," "you," or "your") contracting our solutions.

Our solutions encompass individual service contracts, monthly growth packages (Digital Starter, Business Growth, Business Accelerator, Digital Domination), one-time launch combos, and custom software builds across:

• Search Engine Optimization (SEO): Technical site audits, keyword architecture, Google Business Profile local dominance, and backlink authority building.
• Paid Performance Marketing: Google Search/Display Ads, Meta (Facebook & Instagram) Ads, and multichannel lead generation funnels.
• Content & Creative Media: Corporate video editing, high-retention vertical reels, AI avatar marketing videos, and live broadcast engineering.
• Engineering & Software Solutions: Full-stack web applications, custom corporate websites, and native/cross-platform mobile apps (Android & iOS).

Flame Techno maintains transparent, predictable commercial pricing structured for business clarity:

• Monthly Retainer Packages: Invoiced on a recurring 30-day billing cycle. Retainer fees are payable in advance prior to the commencement of each sprint cycle.
• Fixed-Price Software & Launch Combos: Billed on milestone-based schedules (typically 40% initial mobilization advance, 30% alpha/beta development review, 30% final deployment and handover).
• Statutory Taxes: All stated quotations and package fees are subject to statutory Indian Goods and Services Tax (GST) at prevailing rates unless explicitly marked as tax-inclusive.
• Late Settlement: Invoices outstanding beyond 14 business days from the due date may result in a temporary suspension of live campaign management, staging server deployments, or scheduled deliverables until settled.

We respect your proprietary assets and provide complete ownership transparency upon project completion:

• Client Final Assets: Upon full and final settlement of all invoices, the Client owns 100% of final rendered video exports, published website codebases, graphic collateral, and copywriting produced specifically for your account.
• Pre-Existing Frameworks & Tools: Flame Techno retains ownership of proprietary internal workflow templates, reusable code libraries, starter boilerplate engines, and internal analytics scripts utilized to construct deliverables.
• Agency Showcase Rights: Unless prohibited by an express written Non-Disclosure Agreement (NDA), Flame Techno reserves the standard right to showcase completed creative graphics, case study metric improvements, and video links in our official agency portfolio and marketing decks.

To ensure rapid delivery and prevent indefinite project drift, engagements operate under structured review windows:

• Standard Revision Cycles: Video editing packages and creative posts include two (2) comprehensive rounds of minor editorial adjustments (timing, typography, color grading, audio tweaks) during the proofing phase.
• Scope Creep & Major Rework: Fundamental changes to original creative briefs, script rewrites after voiceover synthesis, or structural database architectural shifts after wireframe approval are quoted separately as additional sprint tasks.
• Prompt Client Review: Draft submissions (video cuts, staging links, ad copy decks) submitted for approval will be deemed approved if no written feedback or revision requests are received within five (5) business days.

To safeguard client funds and maintain complete financial transparency:

• Direct Ad Spend Settlement: Advertising budgets for Google Ads, Meta Ads, and YouTube Ads are paid directly by the Client to the respective ad networks via the Client's business credit card or GST-linked corporate billing profile.
• Agency Fee Segregation: Flame Techno fees cover strategic planning, campaign setup, audience segmentation, split testing, ad copy creation, creative rendering, and ongoing bid optimization. Agency fees never commingle with raw media spend.
• Platform Compliance: Clients warrant that their advertised products, landing pages, and promotional claims strictly comply with Google Ads Policies, Meta Advertising Standards, and ASCI (Advertising Standards Council of India) guidelines.

Successful execution requires timely collaboration between the Client and our project specialists:

• Access Provisions: The Client agrees to grant necessary partner-level administrative access to domain DNS records, CMS backends, Google Analytics, Google Tag Manager, Google Search Console, and ad manager accounts.
• Authentic Brand Assets: The Client is solely responsible for obtaining legal rights, licenses, and clearances for all third-party logos, trademarked names, raw footage, customer imagery, or audio tracks provided to Flame Techno for inclusion in marketing collateral.
• Indemnification: The Client agrees to indemnify and hold harmless Flame Techno against any claims, losses, or legal liabilities arising from materials or representations supplied by the Client that infringe on third-party intellectual property rights.

Flame Techno commits to executing all services following industry best practices and white-hat methodologies:

• Search Engine & Platform Algorithm Notice: Major search engines (Google) and social networks (Meta, YouTube, LinkedIn) periodically revise ranking algorithms and ad auction formulas beyond third-party control. Consequently, while we deploy elite optimization frameworks, no ethical agency can guarantee an unalterable #1 Google position or a static cost-per-lead across fluctuating market conditions.
• Third-Party Outages: Flame Techno is not liable for disruptions, revenue losses, or service outages caused by third-party hosting providers, cloud DNS resolvers, WhatsApp API infrastructure downtimes, or ad network account reviews.
• Aggregate Liability Cap: In no event shall Flame Techno's total aggregate liability arising from or related to any contract exceed the total professional service fees actually paid by the Client to Flame Techno in the preceding two (2) months under the relevant Statement of Work.

We believe in collaborative partnerships without aggressive lock-in contracts:

• Monthly Retainer Termination: Either party may conclude a monthly retainer by providing thirty (30) days' prior written notice via official email (sales.flametechno@gmail.com).
• Work Product Handover: Upon conclusion of the notice period and settlement of outstanding invoices, all active accounts, creative assets, codebases, and credentials will be transferred cleanly to the Client's internal team.
• Refund Policy: Mobilization advances and completed sprint milestones represent labor and resource allocation already expended and are non-refundable. Any unexpended portions of pre-funded custom software milestones will be reconciled transparently.

These Terms and all commercial engagements shall be governed by, interpreted, and enforced in accordance with the laws of India.

• Amicable Resolution: Both parties agree to first attempt resolution of any dispute, controversy, or claim arising out of this agreement through good-faith direct negotiations between executive representatives.
• Exclusive Jurisdiction: If a dispute cannot be resolved amicably within thirty (30) days, it shall be subject to the exclusive jurisdiction of the competent civil courts situated in Pune / Pimpri-Chinchwad, Maharashtra, India.
